Terms & Conditions
Terms governing business-to-business service engagements with Whalora Group Corp.
These Terms & Conditions ("Terms") govern the provision of digital services by Whalora Group Corp. ("Agency", "we", "us", "our") to the client ("Client", "you"). By engaging our services, you agree to be bound by these Terms.
1. Scope of Services
Whalora Group Corp. provides digital and technical services, including search engine optimization (SEO), web development, software and mobile application development, online marketing, and related consulting and maintenance. The scope, deliverables, timelines, intellectual property terms, and fees of each engagement are governed by the parties’ written agreement.
These Terms govern business-to-business service engagements. Consumer-facing mobile applications and digital products, where applicable, may be governed by separate end-user terms and product-specific notices.
2. Proposals and Contracts
Any proposals or estimates provided by Whalora Group Corp. are valid for thirty (30) days from the date of issue. An engagement only commences once a formal Contract or Statement of Work is signed by authorized representatives of both parties and any required initial deposits are received.
3. Client Responsibilities
The Client agrees to provide Whalora Group Corp. with all necessary access, information, materials, and approvals in a timely manner required to perform the services. Delays caused by the Client's failure to provide such resources may result in project delays and adjustments to the timeline, for which Whalora Group Corp. shall not be held liable.
4. Payment Terms
All fees are invoiced according to the schedule specified in the Contract. Invoices are generally payable within fourteen (14) days of the invoice date unless otherwise stipulated. Whalora Group Corp. reserves the right to suspend services if payments are overdue. All fees are exclusive of any applicable taxes, which will be the responsibility of the Client.
5. Refund Policy
Because digital services involve custom labor and resource allocation, all payments are generally non-refundable once work has commenced. Refunds will only be issued for entirely unrendered services prior to project initiation, or if explicitly stated in a written agreement between the Client and Whalora Group Corp..
6. Intellectual Property
Upon full payment of all outstanding invoices, the Client will own the rights to the final deliverables specifically created for them, excluding any underlying tools, frameworks, codebases, or methodologies owned by Whalora Group Corp. prior to the engagement or developed independently. Whalora Group Corp. retains the right to use the deliverables for promotional purposes unless a non-disclosure agreement prevents it.
7. Confidentiality
Both parties agree to hold in strict confidence any proprietary or confidential information disclosed during the engagement. Confidential information does not include information that is publicly known, already known to the receiving party, or independently developed.
8. Limitation of Liability
Whalora Group Corp. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to these Terms or the services provided. The total liability of Whalora Group Corp. shall not exceed the total amount paid by the Client for the specific services giving rise to the claim during the three (3) months preceding the claim. We do not guarantee specific search engine rankings, immediate traffic increases, or specific ROI metrics.
9. Termination
Either party may terminate the engagement with thirty (30) days written notice for retainer or ongoing agreements. For fixed projects, termination terms will be defined in the specific Contract. Upon termination, the Client remains responsible for payment for all services rendered and expenses incurred up to the date of termination.
10. Governing Law
These Terms, and any disputes arising from them or the services provided by Whalora Group Corp., shall be governed by and construed in accordance with the laws of Seychelles, without regard to its conflict of law principles.
